Acceptance & validity
This User Service Agreement (the "Agreement") is entered into between you (the "User" or "you") and ProxyMac (the "Platform" or "we"), and is legally binding on both parties.
You are deemed to have fully read, understood, and accepted all terms of this Agreement by any of the following actions:
- Clicking "Agree", "Confirm", or similar buttons on the registration, login, or checkout pages;
- Accessing, browsing, or using any services provided by the Platform in any manner;
- Completing the account registration process.
If you do not agree to any term of this Agreement, please stop using all services immediately.Minors may not register or use this service.
Services
ProxyMac provides cloud server rental and related services based on Apple Silicon (Mac Mini M4) hardware, including but not limited to:
- Dedicated physical server rental (billed daily / weekly / monthly / quarterly)
- SSH remote terminal access
- VNC graphical remote desktop
- Network connectivity and bandwidth resources
- Basic technical support services
We reserve the right to modify, add, or discontinue any service feature at any time without prior notice and without liability for any resulting consequences. The actual services available on the platform constitute the definitive service offering.
Account registration & security
3.1 Registration requirements
You must provide accurate, complete, and up-to-date registration information and keep it current. You are solely responsible for any consequences arising from providing false information. Each user may register and hold only one account.
3.2 Account security
You are responsible for keeping your account credentials secure. All actions taken under your account are deemed to be your own, and you bear all corresponding legal responsibility. If you suspect unauthorized access, notify us immediately via ticket — however, we are not liable for actions that occurred before the unauthorized access was reported.
3.3 Account transfer restrictions
Without our written consent, you may not transfer, lend, lease, or otherwise grant access to your account or any account rights to any third party. Violations give us the right to immediately suspend the account with no refund of fees paid.
Acceptable use & prohibited conduct
You agree to use the services only for lawful purposes and in compliance with all applicable laws and regulations.The following activities are strictly prohibited and will result in immediate account suspension with no refund:
- Activities that violate any laws or regulations of any jurisdiction
- Launching network attacks, DDoS attacks, port scanning, or intrusions
- Sending spam or conducting phishing
- Distributing malware, viruses, ransomware, or similar harmful programs
- Unauthorized cryptocurrency mining
- Operating proxy, VPN, or traffic relay services (without written authorization)
- Infringing the intellectual property, privacy, or other legal rights of any third party
- Any activity that may harm the platform's infrastructure, network stability, or other users' interests
- Circumventing or attempting to circumvent any security measures or technical restrictions of the platform
Payment & billing
5.1 Billing
All fees are priced in USD and paid in advance before the service begins. The billing period you select (daily / weekly / monthly / quarterly) cannot be changed to a shorter period once confirmed. All fees paid are non-refundable.
5.2 Auto-renewal
Unless you disable auto-renewal in the console before the end of your current billing period, the service will automatically renew for the same period.
5.3 Price changes
We reserve the right to change service pricing. Prices during active subscription periods are not affected; new prices take effect from the next billing cycle.
5.4 Taxes
All displayed prices are exclusive of applicable taxes. You are solely responsible for all tax obligations arising from your use of the service.
Service levels & availability
6.1 Availability target
We strive to provide stable and reliable service, with a target monthly network availability of 99.0%(excluding scheduled maintenance and force majeure events). This target is an aspirational goal and does not constitute a legally binding service commitment.
6.2 Scheduled maintenance
We will endeavor to provide advance notice of planned maintenance windows, but reserve the right to perform emergency maintenance without notice. Downtime during maintenance is excluded from SLA calculations.
6.3 Resource usage
Your server has defined resource specifications (CPU, memory, storage, bandwidth). If your usage unreasonably impacts shared network resources or other users, we may limit or suspend relevant resources without notice.
Data & backup responsibility
Data backup is entirely the user's responsibility.We do not provide automatic backup services and are not liable for any data loss, corruption, or unrecoverability for any reason, including but not limited to:
- Hardware failure or accidental damage
- Deletion of data following service termination or account suspension
- Data loss due to human error or software defects
- Natural disasters or other force majeure events
After an account expires or is terminated, all data on the server will be permanently deleted within 72 hoursand cannot be recovered. Please ensure you complete data migration before your service expires.
Intellectual property
All content on the ProxyMac platform — including but not limited to website design, UI elements, text, graphics, logos, software code, APIs, and documentation — is the exclusive property of ProxyMac and is protected by Chinese and international intellectual property laws. Reproduction, modification, distribution, or creation of derivative works in any form without written authorization is prohibited.
You retain ownership of content stored on your server. You grant us a limited, non-exclusive license to process, transmit, and store your content as necessary to provide the service.
You grant us the right to use your service usage data in anonymized, aggregated form to improve platform performance, conduct technical research, and optimize services.
Disclaimers
To the fullest extent permitted by law, ProxyMac expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We are not liable for:
- Service unavailability caused by general or partial internet failure or carrier network outages
- Service interruptions caused by force majeure events (including natural disasters, war, government regulation, epidemics, etc.)
- Failures or service changes by third-party providers (including payment processors and upstream network providers)
- Hacking, network intrusions, or other malicious third-party actions
- Data loss or system damage resulting from user error
- Any third-party claims arising from content you store on the server
- Service suspension or termination resulting from compliance with lawful orders from government or judicial authorities
Limitation of liability
In no event shall ProxyMac's total cumulative liability for all claims, losses, or damages arising under or related to this Agreement exceed the service fees you actually paid to us during the most recent calendar monthprior to the event giving rise to the claim.
ProxyMac is not liable for any of the following types of losses, whether or not we have been informed of their possibility:
- Indirect, incidental, special, or punitive damages
- Loss of profits, business opportunities, goodwill, or data
- Losses caused by business interruption
Some jurisdictions do not allow the exclusion of certain types of liability; in such cases, the above limitations apply only to the maximum extent permitted by applicable law.
Suspension & termination
11.1 User-initiated termination
You may terminate the service at any time by disabling auto-renewal in the console. The service will stop at the end of the current billing period, and fees already paid are non-refundable.
11.2 Platform termination rights
We reserve the right to immediately suspend or permanently terminate your service in the following circumstances, without prior notice and without refund:
- Violation of any prohibited conduct under Section 4 of this Agreement
- Outstanding balance unpaid for more than 72 hours
- Suspected fraud or use of the account for illegal purposes
- Compliance with legal requirements or lawful orders from law enforcement
- User activity that materially impacts the platform's infrastructure or other users
11.3 Data deletion
After service termination, we will delete all server data associated with the account within 72 hoursThis action is irreversible.
Amendments
We reserve the right to amend this Agreement at any time. Updated terms will be posted on this page with a revised Last Updated date.Your continued use of the service after changes are posted constitutes acceptance of the updated terms.If you do not accept the changes, you should stop using the service before they take effect — services already purchased for the current billing period remain governed by the previous terms.
Dispute resolution & jurisdiction
13.1 Negotiation first
In the event of a dispute, the parties shall first attempt to resolve it through friendly negotiation. You may contact us via the ticket system, and we will respond within 5 business days.
13.2 Governing law & jurisdiction
This Agreement is governed by the laws of the People's Republic of China (excluding conflict of law rules). If negotiation fails, disputes shall be submitted to the competent people's court at the location of the platform's operating entity.
13.3 Severability
If any provision of this Agreement is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
